SochQuant End User License Agreement and Terms of Use

These End User License Agreement and Terms of Use (the “Terms”) govern access to and use of SochQuant, including the website, application, backtesting tools, strategy research features, automation features, live trading connectivity, APIs, dashboards, reports, and related services (collectively, the “Service”).

By creating an account, accessing the Service, clicking “I agree”, connecting an exchange account, enabling live trading, or otherwise using SochQuant, you agree to these Terms. If you do not agree, do not use the Service.

Important: SochQuant is a software and research tool. It does not provide financial, investment, legal, tax, or accounting advice. Crypto trading is risky and can result in total loss of funds.

1. Who may use SochQuant

You may use SochQuant only if you:

  1. are legally able to enter into a binding agreement;
  2. are not prohibited from using the Service by applicable law;
  3. are responsible for your own trading decisions; and
  4. comply with these Terms and all applicable laws, exchange rules, and platform policies.

You are responsible for ensuring that use of SochQuant is lawful in your country, region, or jurisdiction.


2. Nature of the Service

SochQuant provides tools for:

  • crypto strategy research;
  • historical backtesting;
  • saved strategy comparison and reporting;
  • strategy comparison and reporting;
  • optional exchange connectivity;
  • paper trading or simulation workflows; and
  • optional live trading automation where enabled by the user.

SochQuant does not guarantee that any strategy, signal, backtest, report, automation, indicator, configuration, or workflow will be profitable, accurate, available, or suitable for your circumstances.


3. No financial advice

SochQuant is provided for informational, educational, research, and software automation purposes only.

Nothing in the Service is financial advice, investment advice, trading advice, portfolio management, a recommendation to buy or sell any asset, or a guarantee of future results.

You must make your own independent decisions. You should consult a qualified financial, legal, tax, or other professional adviser before making trading or investment decisions.


4. Backtesting and simulated results

Backtesting and simulated results are hypothetical and have important limitations. They may be affected by:

  • incomplete or inaccurate historical market data;
  • exchange outages or API limitations;
  • missing liquidity, slippage, spread, and market impact assumptions;
  • incorrect fee assumptions;
  • data source differences;
  • indicator calculation differences;
  • survivorship bias or overfitting;
  • latency and execution timing differences;
  • strategy bugs or configuration errors; and
  • changes in market conditions.

Past performance, historical results, simulated results, and backtest performance do not guarantee future results.


5. Live trading and exchange connectivity

If you connect an exchange account or enable live trading features, you acknowledge and agree that:

  1. live trading can cause real financial loss;
  2. automated trading may place, cancel, or modify orders based on your configuration;
  3. trading may continue until stopped, disabled, disconnected, or otherwise interrupted;
  4. software bugs, configuration mistakes, API issues, network problems, exchange failures, or unexpected market events may cause losses;
  5. you are solely responsible for API keys, exchange permissions, trading limits, balances, strategy settings, and risk controls;
  6. you should use the minimum required API permissions and should not enable withdrawal permissions unless absolutely necessary; and
  7. SochQuant is not responsible for losses caused by your trading activity, exchange activity, market movement, API credentials, or strategy configuration.

You should test strategies in paper trading or simulation mode before enabling live trading. You should monitor live trading activity regularly.


6. User responsibility

You are responsible for:

  • your account security;
  • maintaining accurate account information;
  • protecting passwords, API keys, secrets, and devices;
  • reviewing strategy logic before running it;
  • validating backtest assumptions;
  • monitoring live trading activity;
  • ensuring exchange credentials have appropriate restrictions;
  • complying with laws and exchange rules; and
  • all activity occurring through your account or connected exchange credentials.

7. Prohibited use

You must not use SochQuant to:

  • violate any law, regulation, exchange rule, or third-party right;
  • manipulate markets, engage in wash trading, spoofing, layering, or other abusive trading practices;
  • access another person’s account or exchange credentials without permission;
  • reverse engineer, scrape, overload, attack, or interfere with the Service;
  • upload malicious code or attempt unauthorized access;
  • resell, sublicense, or commercially exploit the Service without permission;
  • misrepresent SochQuant results as guaranteed, certified, audited, or risk-free; or
  • use the Service in a way that could harm SochQuant, other users, exchanges, or third parties.

8. Accounts and security

You are responsible for keeping your login credentials secure. Notify us promptly if you suspect unauthorized access or compromise of your account.

We may suspend or restrict access if we reasonably believe your account is compromised, used unlawfully, creates operational risk, or violates these Terms.


9. API keys and exchange credentials

Where SochQuant allows exchange API integration, API keys or related credentials may be stored, processed, or transmitted as necessary to provide the Service.

You are responsible for configuring API permissions safely. We recommend:

  • using trading-only API keys;
  • disabling withdrawals;
  • using IP restrictions where supported;
  • rotating keys periodically;
  • deleting keys that are no longer needed; and
  • setting exchange-side trading limits where available.

10. Fees, subscriptions, and payments

Paid plans, billing cycles, feature limits, refunds, and payment methods may be described on the pricing page or checkout flow. Fees are charged according to the plan you select.

Unless otherwise stated, fees are non-refundable except where required by law or expressly agreed by SochQuant.

We may change pricing or plan features by providing reasonable notice where required.


11. Intellectual property

SochQuant and its software, user interface, branding, documentation, workflows, and related materials are owned by SochQuant or its licensors.

Subject to these Terms, SochQuant grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Service for your own lawful purposes.

You retain ownership of your own uploaded content, strategy configurations, notes, and outputs, subject to the rights needed for SochQuant to operate and provide the Service.


12. Availability and changes

The Service may be unavailable, interrupted, delayed, inaccurate, or changed at any time due to maintenance, updates, outages, provider failures, exchange/API changes, security issues, or other reasons.

We may modify, suspend, or discontinue features at any time. We are not liable for losses caused by downtime, delayed execution, unavailable features, market data issues, or exchange connectivity problems.


13. Third-party services

SochQuant may integrate with third-party services such as exchanges, market data providers, payment providers, analytics providers, infrastructure providers, and email providers.

Third-party services are governed by their own terms and policies. SochQuant is not responsible for third-party services, outages, data, actions, or failures.


14. Disclaimers

The Service is provided “as is” and “as available”. To the maximum extent permitted by law, SochQuant disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, accuracy, non-infringement, availability, and error-free operation.

SochQuant does not warrant that:

  • the Service will be profitable;
  • live trading will execute exactly as expected;
  • data will be complete or accurate;
  • backtests will match real trading;
  • errors will be corrected immediately; or
  • the Service will be uninterrupted or secure.

15. Limitation of liability

To the maximum extent permitted by law, SochQuant and its owners, operators, employees, contractors, affiliates, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, punitive, or trading-related damages, including loss of profits, loss of revenue, loss of crypto assets, trading losses, loss of data, business interruption, or loss of goodwill.

To the maximum extent permitted by law, SochQuant’s total liability for any claim related to the Service will not exceed the amount you paid to SochQuant for the Service during the three months before the event giving rise to the claim, or USD 100, whichever is greater.

Some jurisdictions do not allow certain limitations of liability, so some limitations may not apply to you.


16. Indemnity

You agree to defend, indemnify, and hold harmless SochQuant and its owners, operators, employees, contractors, affiliates, and service providers from claims, losses, liabilities, damages, costs, and expenses arising from:

  • your use of the Service;
  • your trading activity;
  • your strategy settings or automation;
  • your connected exchange account or API credentials;
  • your violation of these Terms;
  • your violation of law or third-party rights; or
  • content or data you submit to the Service.

17. Termination

You may stop using the Service at any time. We may suspend or terminate access if you violate these Terms, create security or operational risk, fail to pay fees, or use the Service unlawfully.

Termination does not affect rights and obligations that by their nature should survive, including disclaimers, limitations of liability, indemnity, intellectual property, and dispute provisions.


18. Changes to these Terms

We may update these Terms from time to time. When changes are material, we may provide notice through the Service, email, or other reasonable method.

Continued use of the Service after updated Terms become effective means you accept the updated Terms. For material changes, we may require you to accept the updated Terms before continuing to use the Service.


19. Governing law and disputes

These Terms are governed by the laws of Pakistan, without regard to conflict of law principles. Courts located in Pakistan will have jurisdiction over disputes related to these Terms or the Service, unless applicable law requires a different forum or dispute process.
